Terms and Conditions

1. Agreement to Terms

By accessing or using Maven (“the Platform”), operated by Studious, LLC. (“Studious, LLC.”, “we”, “our”, or “us”), you agree to be bound by these Terms & Conditions. If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity. If you do not agree, you may not use the Platform.

2. Description of Service

Maven provides a unified marketing data platform that includes data extraction from third-party advertising and analytics platforms, data transformation, and dashboard reporting. The Platform is provided “as is” and “as available.”

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized access to your account.
• You must be at least 18 years of age to use the Platform.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose.
• Attempt to gain unauthorized access to any part of the Platform.
• Interfere with or disrupt the Platform's infrastructure.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Resell or redistribute access to the Platform without authorization.

5. Data & Integrations

You retain ownership of all data you provide to or generate through the Platform. By connecting third-party integrations, you authorize us to access and process data from those platforms solely to provide our services. You are responsible for ensuring you have the necessary rights and permissions to connect those accounts and to share data from them. Our handling of your data is described in our Privacy Policy.

6. Third-Party Platforms & API Terms

The Platform integrates with third-party services, including Google and Meta (Facebook/Instagram), through their APIs. When you connect such a service, you authorize Maven to access data from it on your behalf, and you represent that you are permitted to grant that access. Your use of each connected service remains subject to that provider's own terms and policies, including the Google API Services User Data Policy and the Meta Platform Terms. Maven requests read-only access wherever available and uses connected data only to provide the Platform's reporting and analytics features.

7. Subscription & Billing

• Standard paid plans are billed monthly and renew month-to-month until canceled.
• Cancellation takes effect at the end of the then-current monthly billing period.
• Standard plans have no setup fee. Nonstandard migrations, custom connectors, major tracking rebuilds, campaign management, and bespoke engineering may be contracted and billed separately.
• Any separately signed order form or statement of work controls for the nonstandard services it covers.
• We reserve the right to change pricing with 30 days' notice.
• Refunds are handled on a case-by-case basis.

8. Intellectual Property

The Platform, including its design, code, features, and branding, is owned by Studious, LLC. and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose.

9. Limitation of Liability

To the maximum extent permitted by law, Studious, LLC. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including loss of data, revenue, or business opportunities. Our total aggregate liability arising out of or relating to the Platform shall not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. Disclaimer of Warranties

The Platform is provided “as is” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless Studious, LLC. and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any third-party rights, including the terms of any connected platform.

12. Termination

We may suspend or terminate your access to the Platform at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

13. Data Processing

For business customers who require one, a Data Processing Addendum (DPA) governing our processing of personal data on your behalf is available on request at jamie@metricmaven.io.

14. Changes to Terms

We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. We will notify you of material changes via email or through the Platform.

15. Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law principles. You agree that the state and federal courts located in Tennessee shall have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or the Platform.

16. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Studious, LLC. regarding the Platform. We are not liable for any failure or delay caused by events beyond our reasonable control.
